By accessing or using this website (the "Site"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, please do not use the Site. These Terms form a binding agreement between you and Nexo auto sales ("we", "us", "our" or "the Dealer").

Nexo auto sales is a licensed motor-vehicle dealer based in Houston, Texas, selling pre-owned vehicles. This Site allows visitors to:

• Browse our current and upcoming vehicle inventory;
• Request to be notified when a coming-soon vehicle becomes available;
• Contact us with questions about a specific vehicle or about general financing options;
• Submit a pre-approval financing application.

The Site does not, by itself, complete a vehicle sale or extend credit. Final sales and financing decisions occur offline through our dealership and our lending partners.

You must be at least 18 years old and a legal resident of the United States with the legal capacity to enter into binding contracts in order to use this Site or submit a financing application. By using the Site you represent and warrant that you meet these requirements.

We make commercially reasonable efforts to keep vehicle descriptions, photos, pricing, mileage, and availability current and accurate. However:

• Errors and omissions occur. We do not warrant that any vehicle listing is free from inaccuracies.
• Prices, fees, taxes, and financing terms displayed are estimates and are subject to change without notice. The final purchase price and any financed amount are determined at the dealership.
• Vehicle availability is not guaranteed. A vehicle shown as available may be sold or removed from inventory at any time.
• All vehicle sales are final once consummated, except as required by applicable law.

Submitting a financing application through the Site is a request for pre-approval — it is not, by itself, an approval, an offer of credit, or a guarantee that financing will be extended. Approval and final terms are at the discretion of our lending partners and depend on the information you provide, your credit history, and other underwriting criteria.

By submitting a financing application you authorize us and our lending partners to obtain your consumer credit report from one or more consumer reporting agencies (Equifax, Experian, TransUnion or others). Depending on the lender, this may be a soft inquiry (no impact on your credit score) or a hard inquiry (which may affect your credit score). The authorization in the application itself controls the specifics.

You agree not to use the Site to:

• Attempt to gain unauthorized access to any portion of the Site, our database, or our infrastructure;
• Probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measure;
• Use automated means (scrapers, bots, crawlers) to extract bulk inventory data, pricing, or any other content from the Site for commercial purposes without our prior written consent;
• Submit applications or inquiries using another person's name, identity, or financial information without that person's knowledge and consent;
• Interfere with or disrupt the Site or any servers or networks connected to the Site, or transmit any worms, viruses, or other harmful code;
• Use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law.

All content on the Site — including vehicle photos, descriptions, logos, dealer branding, page text and layout — is owned by Nexo auto sales or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view the content for personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works of the content without our prior written permission.

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Vehicle warranties, if any, are provided by the original manufacturer or third-party warranty providers and are independent of these Terms. Nothing on this Site constitutes a warranty of merchantability or fitness for a particular purpose regarding any specific vehicle.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NEXO AUTO SALES, ITS OFFICERS, EMPLOYEES, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.

You agree to indemnify, defend, and hold harmless Nexo auto sales, its officers, employees, affiliates, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site, (b) your violation of these Terms, or (c) your violation of any third-party right or applicable law.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.

We reserve the right to modify these Terms at any time. When we make material changes, we will revise the "Effective date" above and, where appropriate, provide additional notice on the Site. Your continued use of the Site after changes become effective constitutes your acceptance of the revised Terms.
