Terms of Service

By accessing or using this website (the "Site"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, please do not use the Site.

The motor-vehicle dealer identified by this Site, its branding, inventory, domain, and contact information is Nexo Auto Sales, a trade name of K Auto Solutions Inc, (the "Dealer"). The Site is powered by The Dealers One, a software platform operated by Bubick Company LLC (the "Platform Provider"). In these Terms, "we," "us," and "our" mean the Dealer for vehicle sales, financing, service, warranty, customer communications, and dealership obligations, and also include the Platform Provider where the context involves software, hosting, security, communications infrastructure, electronic records, or platform operations.

Nexo Auto Sales is a motor-vehicle dealer based in Houston, TX, selling pre-owned vehicles. Depending on which features the Dealer has enabled, the Site may allow visitors and customers to:

• Browse current, sold, and upcoming vehicle inventory;
• Save favorites and request vehicle availability updates;
• Contact the Dealer, request a call, or schedule follow-up;
• Submit a financing application or co-applicant information;
• Access a customer portal for purchase status, documents, service requests, warranty requests, photos, messages, and related records;
• Review, acknowledge, or electronically sign purchase, service, or delivery documents when the Dealer enables that feature;
• Use calculators, address tools, language preferences, cookie preferences, and other convenience features.

The Site does not, by itself, complete a vehicle sale, extend credit, approve financing, guarantee a repair, or create warranty coverage. Final sales, financing, service, warranty, delivery, and title decisions occur through the Dealer, its lenders, and any applicable written documents. The Platform Provider supplies technology only and is not the seller, lender, credit broker, warranty provider, repair facility, insurance provider, or vehicle dealer unless a separate written agreement expressly says otherwise.

The Dealer is responsible for its vehicle listings, prices, advertised terms, sales documents, financing follow-up, trade-in decisions, taxes and fees, warranties, repairs, diagnostic fees, service appointments, staff promises, and customer relationship. Claims or questions about a vehicle, sale, financing decision, service request, warranty coverage, or dealership communication should be directed to the Dealer first.

The Platform Provider is responsible for the software platform, hosting, platform security controls, electronic workflow tools, and operational infrastructure used to deliver the Site. Platform-only support, privacy, security, or electronic-record issues may be routed through the Dealer for escalation to the Platform Provider.

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use this Site, submit a financing application, access a customer portal, request service, or electronically sign documents. By using the Site, you represent that the information you provide is accurate and that you are authorized to provide it.

We make commercially reasonable efforts to keep vehicle descriptions, photos, pricing, mileage, title-brand information, inspection notes, service notes, and availability current and accurate. However:

• Errors and omissions can occur. We do not warrant that any listing or vehicle record is free from inaccuracies.
• Prices, fees, taxes, warranty terms, diagnostic fees, repair estimates, and financing terms displayed online are estimates and may change without notice. Final terms are determined by the written dealership documents.
• Vehicle availability is not guaranteed. A vehicle shown as available may be sold, held, removed, repaired, or reclassified at any time.
• You are responsible for reviewing the vehicle, documents, disclosures, title status, odometer, condition, and final purchase terms before signing or paying.

Submitting a financing application through the Site authorizes the Dealer, its lending partners, assignees, and service providers to process the application and evaluate your creditworthiness. It is not an approval, an offer of credit, or a guarantee that financing will be extended. Approval and final terms are at the discretion of the applicable lender and depend on the information you provide, your credit history, and underwriting criteria.

By submitting a financing application, you authorize the Dealer and its lending partners to obtain your consumer credit report from one or more consumer reporting agencies, including Equifax, Experian, TransUnion, or others. This is a hard inquiry that may affect your credit score. The authorization in the application itself controls the specifics.

The Platform Provider does not make credit decisions, issue adverse action notices, set loan terms, or guarantee lender performance.

If you receive access to a customer portal, invitation link, password reset link, signing link, or verification code, you are responsible for keeping it private and using it only for your own purchase, service, or warranty matter. Do not share portal credentials, signing links, passwords, or one-time codes with unauthorized people.

Service and warranty forms are requests for review only. An appointment, repair, warranty approval, diagnostic fee, service estimate, completion date, or coverage decision is not final unless confirmed by the Dealer or stated in signed written documents.

The Dealer sends text messages only to a mobile number whose owner agreed to receive them. There are two separate consents, each given by ticking its own box on a form on this Site. Both boxes are unchecked by default, either may be ticked without the other, and neither is required to submit a form. Consent to receive text messages is not a condition of any purchase, financing, or service.

• Service messages (the first box) — communications about your inquiry and your business with the Dealer: availability of a vehicle you asked about, replies to an offer or a request, appointment and test-drive reminders, repair and service status, documents to sign, balances and payment links, and hold or account confirmations.
• Offers and promotions (a separate, optional second box) — occasional marketing messages about vehicles, pricing, financing, service specials, and events. You receive these only if you ticked that box.

If you text the Dealer first, the Dealer may reply to your message. A reply is not an offer or a promotion, and texting first does not sign you up for them.

Messages may be sent using an automatic telephone dialing system or other automated technology. Message frequency varies with how you use the Site and the Dealer's services. Message and data rates may apply.

To stop receiving text messages, reply STOP to any message. You will be opted out immediately and no further messages — including offers and promotions — will be sent to that number; the Dealer may send one final message confirming the opt-out. Reply HELP for help, or use the stop-texts form on this Site. You can opt back in to service messages at any time by replying START. START does not restore offers and promotions; to receive them again, tick the offers box on a form after opting back in.

Your mobile number and your consent to receive text messages are never sold or shared with third parties or affiliates for their own marketing purposes. They are shared only with the messaging provider that delivers the Dealer's messages, as described in the Privacy Policy.

Opting out of text messages does not opt you out of email, and it does not cancel a purchase, appointment, repair order, or any other agreement. Carriers are not liable for delayed or undelivered messages. For help with text messages, contact the Dealer at Info@nexoautosales.com.

When the Site presents an electronic signature, acknowledgement, checkbox, typed-name field, ZIP verification, or confirmation button, you agree that your electronic action can have the same legal effect as a handwritten signature or paper record to the extent permitted by applicable law. Do not sign, acknowledge, or submit anything unless you have reviewed it and are authorized to do so.

Electronic workflow records may include your name, email, phone, timestamp, IP address, browser or device details, verification attempts, document identifiers, document hashes, consent text, and event logs. These records may be used to prove delivery, review, consent, signing, security, fraud prevention, and dispute handling.

You agree not to use the Site to:

• Attempt to gain unauthorized access to any portion of the Site, customer portal, database, storage bucket, account, or infrastructure;
• Probe, scan, or test vulnerabilities, bypass authentication, bypass rate limits, or defeat bot-protection measures;
• Scrape, crawl, bulk-download, copy, resell, or commercially reuse inventory data, customer data, pricing, photos, documents, or platform content without written permission;
• Submit applications, signatures, documents, service requests, or messages using another person's identity or financial information without that person's knowledge and consent;
• Upload harmful code, abusive content, fraudulent documents, or content that violates any third-party right;
• Interfere with the Site, its vendors, the Dealer, the Platform Provider, or any connected system; or
• Use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law.

Site content, software, layouts, text, photos, vehicle descriptions, dealer branding, platform branding, logos, workflow designs, and related materials are owned by the Dealer, the Platform Provider, or their licensors. You may view Site content for personal, non-commercial use only. You may not reproduce, distribute, modify, reverse engineer, scrape, or create derivative works from the Site without prior written permission from the applicable owner.

THE SITE AND ALL CONTENT, INFORMATION, TOOLS, PORTAL FEATURES, ELECTRONIC WORKFLOWS, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AVAILABILITY, OR ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Vehicle warranties, if any, are provided only as stated in the final written sale documents, manufacturer warranty documents, or third-party warranty documents. Nothing on the Site creates a warranty of merchantability, fitness for a particular purpose, repair coverage, service completion, or financing approval for any specific vehicle.

The Platform Provider does not control the Dealer inventory, pricing, sales decisions, financing decisions, repair work, warranty coverage, title work, tax and fee calculations, or customer communications, except to the limited extent it supplies software tools used by the Dealer.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE DEALER, BUBICK COMPANY LLC, THE DEALERS ONE, OR THEIR RESPECTIVE OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, VENDORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, USE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100), EXCEPT TO THE EXTENT A DIFFERENT LIMIT IS REQUIRED BY LAW.

Some jurisdictions do not allow certain exclusions or limitations, so the above limitations apply only to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless the Dealer, the Platform Provider, and their respective officers, employees, contractors, affiliates, licensors, vendors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys fees, arising out of or related to (a) your use of the Site, (b) your violation of these Terms, (c) information, documents, messages, signatures, or content you provide, or (d) your violation of any third-party right or applicable law.

These Terms are governed by the laws of the State of TX, without regard to conflict-of-laws principles, except where federal law controls or applicable law requires otherwise. For disputes with the Dealer arising from vehicle sales, financing, service, warranty, or dealership communications, you agree that venue will be in the state or federal courts located in Harris County, TX, unless another venue is required by applicable law. Platform-only disputes may also be subject to the terms of any separate platform agreement or applicable venue required by law.

We reserve the right to modify these Terms at any time. When we make material changes, we will revise the effective date above and, where appropriate, provide additional notice on the Site. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

Questions about vehicle sales, financing, service, warranties, portal access, documents, or these Terms should be directed to the Dealer. Platform-specific privacy, security, or technical issues may be routed through the Dealer for escalation to the Platform Provider.
